PORTO MARKETPLACE

Terms and Conditions

Last updated: 18 September 2026

These Terms and Conditions (“Terms”) govern access to and use of the PORTO website and related services (the “Platform”).

The Platform is operated by Porto Marketplace Ltd (“PORTO”, “we”, “us”, or “our”), operating commercially as PORTO Marketplace.

If you do not agree to these Terms, you must not use the Platform. Where UK law requires additional acceptance of a change to these Terms, PORTO will seek that acceptance rather than treating continued browsing as consent.

1. About PORTO

PORTO is a digital marketplace for listing and discovering:

  • Aircraft
  • Marine vessels and boats

PORTO provides digital infrastructure that allows buyers and sellers to connect. On the Platform you can, depending on your account and membership:

  • Create and manage listings
  • Search and view listings
  • View public seller profiles where available
  • Message other users
  • Save listings as favourites
  • Manage your account
  • Subscribe to a PORTO membership
  • Contact PORTO support

PORTO:

  • does not own listed assets
  • is not a manufacturer
  • is not a broker or dealer of assets
  • is not an insurer
  • is not an appraiser
  • does not receive or hold the purchase price of an aircraft or vessel sale
  • does not take possession of listed assets
  • does not transport or store listed assets

2. Eligibility

To use the Platform you must:

  • be at least 18 years old
  • have legal capacity to enter into a contract
  • provide true, accurate, and up-to-date information
  • comply with applicable law

PORTO does not currently operate a mandatory identity-verification (KYC) onboarding flow or an automated sanctions-screening integration as a condition of creating an account.

3. User accounts

You may create a PORTO account to sign in and sign out, manage your profile, publish and manage listings, save favourites, use messaging, subscribe to a membership, and contact support. Email verification is required before you can use authenticated areas of the Platform.

You are responsible for keeping your login details confidential and for activity carried out through your account. You should tell PORTO promptly if you believe your account has been used without authorisation.

4. Listings

If you publish a listing, you must:

  • own the asset or be authorised to offer it for sale
  • provide information that is true and not misleading
  • take care that specifications are accurate
  • use photographs and videos that reasonably represent the asset
  • comply with applicable law

PORTO does not physically inspect aircraft or vessels. PORTO may review, restrict, reject, suspend, or remove a listing where reasonably necessary for security, abuse prevention, fraud prevention, legal compliance, enforcement of these Terms, or the integrity of the marketplace.

5. Buyer responsibilities

If you consider buying an aircraft or vessel found through PORTO, you are responsible for your own due diligence. That may include ownership, title, registration, condition, specifications, documentation, inspection, taxes, import and export, and other regulatory requirements.

PORTO does not guarantee the outcome of any sale, the accuracy of a listing, or the conduct of another user.

6. Transactions between buyers and sellers

A sale of an aircraft or vessel is an agreement between the buyer and the seller only.

PORTO is not a party to that contract of sale. PORTO does not receive the purchase price, does not retain the purchase price, does not pay sellers the sale proceeds, does not guarantee delivery or payment, does not hold the purchase price on anyone’s behalf, and does not charge a commission on the sale price.

The transaction commission on aircraft sales is 0%. The transaction commission on vessel sales is 0%.

The buyer and seller agree directly on price, payment method, inspection, transfer, delivery, documentation, taxes, and regulatory matters.

7. PORTO memberships

PORTO’s revenue from the Platform is membership subscription fees, not a percentage of aircraft or vessel sale prices. Current commercial details are shown on the Plans page. At the date of these Terms, the published USD prices and coded plan limits are as follows.

Free

The Free membership costs $0. It currently allows up to 2 listings, unlimited photos per listing, access to the marketplace, messaging, and favourites. Free listings currently expire after 180 days. Free does not include featured listing placement or the analytics dashboard.

Plus

Plus currently costs $29.99 per month or $287.90 per year. It currently allows up to 10 active listings, unlimited photos, featured listing placement, analytics, a public seller profile while the membership is active or on trial, and a 30-day trial where the account is eligible (once per account). Listings do not expire under the current Plus rules while the membership remains in force.

Premium

Premium currently costs $59.99 per month or $575.90 per year. It currently allows unlimited listings, unlimited photos, featured listing placement, analytics, and a public seller profile while the membership is active. Premium does not currently include a free trial.

None of these memberships includes a transaction commission on the sale of an aircraft or vessel.

8. Subscription billing

Paid memberships are billed through Stripe on a monthly or annual recurring basis, according to the interval you select at checkout. Before you complete a paid subscription, checkout is intended to show the selected plan, price, billing interval, any applicable trial, the recurring nature of the charge, and when paid billing starts.

Where a trial is offered for Plus, billing for that plan starts after the trial unless you cancel before the trial ends. PORTO does not currently offer a trial on Premium. If a recurring payment fails, PORTO currently applies a 15-day grace period during which you may update your payment method.

You can manage billing details through Stripe’s Customer Portal from the Plans page when you have a Stripe customer record. PORTO does not promise an automatic refund of a period already paid, except where a statutory right requires otherwise.

Nothing in these Terms limits any statutory cancellation, cooling-off, refund, or other consumer rights that cannot legally be excluded or limited.

9. Cancellation

You may cancel a paid membership so that it does not renew. In the Platform’s current configuration, cancellation is scheduled at the end of the current billing period: you keep access until that period ends, and PORTO does not currently cancel immediately or automatically refund time already paid.

Cancellation is available from the Plans page. PORTO does not require an unreasonable additional step to cancel a membership you have purchased.

Nothing in these Terms limits any statutory cancellation, cooling-off, refund, or other consumer rights that cannot legally be excluded or limited.

10. Payments for memberships

PORTO uses Stripe only to process PORTO membership subscription payments. PORTO does not store full payment card numbers or full card security codes. Stripe handles payment information under Stripe’s own terms and privacy documentation.

PORTO does not use Stripe to collect the purchase price of an aircraft or vessel, and does not operate transfers of listing-sale proceeds to sellers.

11. Prohibited activities

You must not:

  • commit fraud or run scams
  • impersonate another person or organisation
  • provide false or misleading information
  • list stolen assets
  • upload malicious code
  • attempt unauthorised access to the Platform or other users’ accounts
  • harass or abuse other users
  • use the Platform for unlawful activity
  • infringe intellectual property or other rights
  • use unauthorised scraping, bots, or automation
  • evade PORTO membership fees

12. Messaging

Signed-in users may send messages to other users about listings and related enquiries. Messaging is a communication tool on the Platform. It is not a payment system, and PORTO does not process aircraft or vessel purchase payments through messages.

You must not use messaging for scams, fraud, harassment, illegal activity, or to evade these Terms.

13. Verification indicators

PORTO may display a visual indicator on certain listings or seller profiles for accounts on an active or trialing Premium membership. Email verification confirms that you control the email address on your account.

These indicators do not guarantee ownership of an asset, its condition, a user’s financial capacity, or the safety or completion of any transaction.

14. User content

You retain ownership of content you submit, including listing photographs, videos, descriptions, and profile content.

You grant PORTO a limited, non-exclusive licence to store, display, operate, maintain, and promote that content on and in connection with the Platform, only as needed to provide the service. This licence does not transfer ownership of your content to PORTO.

You warrant that you have the rights needed to submit that content and that it does not infringe third-party rights or applicable law.

15. Intellectual property

PORTO branding, software, user interface, logos, and original Platform content are owned by Porto Marketplace Ltd or its licensors. These Terms do not transfer those rights to you, and they do not take away rights you legally hold in your own content.

16. Privacy and cookies

How PORTO processes personal data is described in the Privacy Policy. How PORTO uses cookies and similar storage technologies is described in the Cookie Policy.

17. Third-party services

The Platform uses third-party services to operate, including Stripe (membership payments), Resend (email delivery), Cloudinary (media storage), Mapbox (server-side address lookup), Cloudflare Turnstile (login and registration abuse prevention), and Google or Facebook (optional account sign-in). Those providers have their own terms and privacy information. PORTO is not responsible for services it does not control.

18. Availability

PORTO may perform maintenance, updates, improvements, temporary suspension, or feature changes. PORTO does not guarantee that the Platform will be available without interruption.

19. Disclaimer

To the fullest extent permitted by applicable law, PORTO does not warrant the accuracy of user listings, the condition or ownership of assets, that a sale will complete, how buyers or sellers will behave, or that third-party services will always be available.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including under the Consumer Rights Act 2015 where it applies.

20. Limitation of liability

Subject to applicable law, and except for liability that cannot legally be excluded or limited, PORTO is not liable for indirect, incidental, or consequential loss arising from use of the Platform or from a sale agreed between users.

Where PORTO is liable and that liability may legally be limited, PORTO’s liability is limited to a reasonable amount having regard to the membership fees you actually paid to PORTO in the 12 months before the claim, but this limit does not apply where law forbids such a limitation, including mandatory consumer rights.

21. Indemnity

If you are not dealing as a consumer, you will indemnify PORTO against reasonably foreseeable loss arising from your fraud, unlawful use of the Platform, material breach of these Terms, or infringement of third-party rights, except to the extent the loss was caused by PORTO. This clause does not require consumers to indemnify PORTO in a way that would be unfair or unenforceable under applicable consumer law.

22. Suspension and termination

PORTO may suspend or terminate access where reasonably necessary because of fraud, serious abuse, security risk, repeated material violations of these Terms, unlawful activity, or a legal or regulatory requirement.

23. Complaints and support

You may contact PORTO about these Terms or the Platform at:

porto@portomarketplace.com

PORTO does not operate an in-platform process to collect, hold, or release the purchase price of an aircraft or vessel, and does not adjudicate those sales. Those sales are handled directly between the buyer and the seller.

24. Changes to these Terms

PORTO may update these Terms to reflect the Platform, the law, or how the service operates. The current version will be published on the Platform with its update date. Where a change is material, PORTO will provide additional notice where appropriate and will obtain any acceptance required by law. PORTO will not use a unilateral change to remove rights that cannot legally be excluded.

25. Governing law

These Terms are governed by the laws of Scotland. The Scottish courts have jurisdiction, except that a consumer may also rely on any mandatory right to bring or defend proceedings in the courts of their place of residence where applicable law so provides.
